Article 1: Organising Company

DANONE, a public limited company registered in Paris under the siren number 552 032 534, with a share capital of 161,747,712.50 Euros, has its registered head office at 17 boulevard Haussmann, 75009 Paris FRANCE

DANONE is organising a business challenge known as "Trust" (hereafter "Trust challenge") from September 2009 to April 2010 according to the rules contained in this document.
The Trust Challenge is located at the following website:
www.trustbydanone.com

This challenge will take place in 10 countries: China, Czech Republic, Indonesia, Poland, Romania, Russia, USA, Turkey, Belgium, Portugal (Portugal is deploying Trust at a National level but is not coming to the International Final).

The Trust challenge will be presented in some local schools/universities (in the different countries mentioned above), before the beginning of the Trust challenge.


Article 2: The challenge's principle:

The "Trust challenge" developed by DANONE is a business simulation experience. This challenge must be played in teams. The aim of "Trust challenge" is to give students real business insight.

The different Trust challenge stages may vary from a local Danone company to another. Each participating country can choose the format that best suits local needs. They are only required to present a country finalist team of 5 students that will compete at the International Final in Paris.


Article 3: Access and Registration terms:

Participation in the Trust challenge implies participants' full agreement to comply with all the following rules, but also with the Internet best practices.

The Trust challenge is available on a free website, to anyone who is at least 18 years old, who studies in one of the schools/universities located in the participating countries, excluding employees of the organising company and their families (spouses, ancestry, offspring).

Participants have to register by team on the following website: www.trustbydanone.com
Teams can be constituted of members coming from different universities, if the local Danone Company agrees.

Opening and closing registration dates will depend on each country. These dates will be indicated on the website stated above.

DANONE is allowed to change the registration dates and to inform the schools/universities of the participating countries about these changes.

Incomplete registrations will not be considered as eligible. During the Trust challenge, if it appears that a candidate has given wrong information concerning his/her registration, his/her team will be disqualified.

DANONE will prioritise the selection of teams who are composed of students who have never played Trust as well as teams where all members are fluent in English.


Article 4: Participation in the Trust challenge:

At the end of the registration period, DANONE will select teams. Selection will be based on answers given by team members in the registration web site, languages spoken by each member of the teams and their year of study. Several teams per school may be selected depending on the total number of registrations.
Elected teams will be informed by e-mail of their selection (subject to the condition that they have sent a correct e-mail address when the answer is sent).

Non-selected teams will be informed by e-mail.

Selected teams will receive an invitation by e-mail to continue the Trust challenge. The local Danone company may invite them for a full day called "Trust Day". In those countries where the Trust Day is organised, it will be played on the dates stated in the invitation mail. The objective of the Trust Day is to set up a 3 year strategic plan for a virtual company in a virtual country. The game's rules are given during the "Trust Day".
According to the number of registrations, DANONE is allowed to change the dates and to inform the persons concerned by e-mail 72h before.
Food costs for the Trust Day will be paid by DANONE.
During the "Trust Day", teams will play the Business game "Trust". Trust game is a management simulation game where students will have to set up a strategic plan for an invented DANONE subsidiary over a period of three years. The Trust Day includes strategic directions, P&L, SWOT and solutions to problems posed by various events.
They will be informed during the following 15 days as to which of the teams is selected to go to the Country final. The Country Final will consist of the presentation of the reports done on the Trust Day to a real directors committee of DANONE. The described jury will assess all reports. Transportation costs will be covered by DANONE.
Some local Danone companies might decide not to organise the Trust Day or the Country Final. If the Trust Day is not organised, local Danone companies will directly brief students on a local issue; students' responsibility will then be to propose a realistic solution with both economic and social results/impact.

One "finalist team" per country will be selected to participate to the international final in Paris in April 2010. DANONE is allowed to change the date and location of the final according to the timetable of its chairman: Franck Riboud. If such a change arises, DANONE shall inform the concerned teams by mail 8 days before (week ends are excluded from this notice period).

All teams selected and not selected will be informed by mail.

During the international final, selected teams will answer questions concerning Danone and its specific way of doing business in front of DANONE's managers, Franck Riboud, DANONE's Chairman and CEO and some external specialists (professionals who are knowledgeable on the local issues proposed by local Danone companies).


Article 5: Rewards for finalist teams

Finalist teams will be invited to go to Paris for 2 full days.
During these 2 days, they will have the opportunity to present their business case recommendation to Franck Riboud (Chairman and CEO of DANONE), to exchange ideas with DANONE directors and managers and to concretely see how business is run at DANONE (for example visiting a factory).

DANONE will assume the accommodation costs, transport costs and food costs.


Article 6: Winners’ promotion and publicity:

The organising company is allowed to ask participants for the right to use their names, addresses and pictures in all events and promotions linked to the "Trust challenge" without giving right to any other prize than the prize won.


Article 7: Databases and freedom:

DANONE is the only recipient of personal information given by participants. Addresses of participants will be used according to the « Informatiques et Libertés » French law of 1978. Each participant has the right to access, to modify or to delete their personal data if they write to: trustcontactus@danone.com

If participants wish and if they tick the appropriate box on the registration form, the organizing company might send them recruitment propositions.

These dispositions are subject to the application of imperative local laws.


Article 8: Authorisation:

The organising company is allowed to control the identity and address of participants. Wrong information will automatically lead to the elimination of participants from the Trust challenge. The organising company is also allowed to exclude any participant who would have cheated at the challenge.


Article 9: Regulation:

Participation in the Trust challenge implies full and complete acceptance of these rules.

Any difficulty arising from the application of the interpretation of these rules or not foreseen herein shall be judged by DANONE


Article 10: Responsibility:

Regarding the specificities of Internet network, the free reception of the information sent, as well as the inability for DANONE to control the use that could be made by others of such information, DANONE shall not be held responsible for any wrongful use of the information sent by third parties.

The organising company shall not be held responsible for any communication problems, network connections, computer problems or defective Internet connections.

DANONE is allowed to reduce, extend, postpone, change or cancel the Trust challenge if necessary. DANONE shall not be held responsible for such actions. If any of these arise, DANONE will take all necessary measures to inform participants on the following website: trustbydanone.com

DANONE will endeavour to ensure access to the Trust challenge however without incurring any liability if such access is not possible or is limited.

At any time, DANONE may stop access to the Trust challenge's website for technical reasons. In this case, DANONE shall not be held responsible for these problems and their consequences.


Article 11: Rules lodgment:

The complete Challenge rules have been lodged at: Maitre LE HONSEC, 92 rue d'Angiviller, BP 64, 78512 Rambouillet cedex, France.
